Unlocking Greater Investment Flexibility
India’s investment landscape is evolving rapidly, with investors increasingly looking beyond traditional investment avenues. To recognise investors with higher financial capacity and the ability to understand sophisticated investment products, Accredited Investor (AI) framework has been created. But what does being an Accredited Investor actually mean—and what additional flexibility can it provide?
Who is an Accredited Investor?
An Accredited Investor is a person or eligible entity that meets financial criteria and obtains an Accreditation Certificate from a recognised Accreditation Agency.
For Individuals, HUFs, Sole Proprietorships and Family Trusts
You must meet at least one of the following:
- Income Route: Annual income of ₹2 crore or more.
- Net Worth Route: Net worth of ₹7.5 crore or more, with at least ₹3.75 crore in financial assets.
- Combined Route: Annual income of ₹1 crore or more and net worth of ₹5 crore or more, with at least ₹2.5 crore in financial assets.
For Corporates, Partnerships and Other Trusts
- Body Corporates: Net worth of ₹50 crore or more.
- Trusts other than Family Trusts: Net worth of ₹50 crore or more.
- Partnership Firms: Each partner must independently meet the applicable accreditation criteria.
Certain entities, including specified government entities, QIBs, Category I FPIs, sovereign wealth funds and multilateral agencies, may be deemed Accredited Investors under the applicable framework.
What Are the Benefits?
The key benefit is greater flexibility in accessing certain investment products and investment minimums. For eligible products, the standard regulatory minimum applicable to ordinary investors may not apply to an Accredited Investor.
However, there is no one universal lower minimum for every provider. The AMC, Portfolio Manager or AIF Manager may prescribe its own product-level minimum.
| Product | Normal Investor Minimum | Accredited Investor | Provider Can Set Its Own Minimum? | Indicative Provider-Level Minimum / Market Range* |
|---|---|---|---|---|
| SIF – Specialised Investment Fund | ₹10 lakh | ₹10 lakh threshold not applicable | Yes | ₹1–10 lakh |
| PMS – Portfolio Management Services | ₹50 lakh | ₹50 lakh minimum not applicable | Yes | ₹25–50 lakh |
| AIF – Alternative Investment Fund (Regular Scheme) | ₹1 crore | ₹1 crore minimum not applicable | Yes | ₹25 lakh–₹1 crore+ |
| AIF – Alternative Investment Fund (AI-Only Scheme) | Not available to normal investors | No prescribed minimum | Yes | Provider-specific |
| AIF – LVF (Alternative Investment Fund – Large Value Fund for Accredited Investors) | Not applicable to normal investors | ₹25 crore minimum | Generally ₹25 crore+ | ₹25 crore+ |
*Indicative only.
Actual minimums depend on the specific product, provider and applicable documents.
How to Apply?
Eligible investors can apply to a recognised Accreditation Agency, such as CDSL Ventures Limited or NSDL Database Management Limited. The agency verifies the applicant’s KYC and financial information before issuing the Accreditation Certificate.
The certificate can then be used to seek applicable benefits under the Accredited Investor framework, subject to the requirements of the relevant investment product and service provider.
Is Accreditation Right for You?
Accreditation is not an investment recommendation and does not guarantee returns or reduce investment risk. It simply provides eligible investors with greater flexibility.
Before investing in SIFs, PMS or AIFs, investors should consider their risk profile, investment objective, time horizon, liquidity requirements and financial circumstances, and review the relevant product documents carefully.
The Bottom Line
Accredited Investor status is less about a label and more about greater investment flexibility.
For eligible investors, it can open the door to investment structures and minimum investment levels that may otherwise be subject to higher thresholds. However, the actual terms remain product- and provider-specific.
